INTERNET BANKING AGREEMENT
The following Agreements set forth the terms and agreements betweenCity National Bank of West Virginia and its customers for InternetBanking. All customers are deemed to have read, understood, andagreed to each specific agreement upon requesting and obtaining theservice. Each service is different and the existence of a term inone agreement does not constitute the existence of that term in anyother agreement unless specifically stated.
There may be additional Online Services that are not specificallydescribed in this Agreement and we reserve the right to add oreliminate Online Services. The availability of select OnlineServices may be limited by your access method or access device.
This Agreement is revised periodically and it may include changesfrom earlier versions. By accessing your account and engaging inOnline Services, you agree to the most recent version of thisAgreement, which is always available to you online. You maywithdraw your consent at any time by calling or writing us at thetelephone number or address listed at the end of thisdisclosure.
This Agreement contains terms and conditions that apply to your useof various Online Services and is in addition to other agreementsand disclosures that apply to your account(s). For example, whenyou access your deposit account online, the terms and conditions ofyour deposit account agreement do not change and continue toapply.
For the purpose of this Agreement, the words "we," "us," "our," or"City National Bank" mean City National Bank of West Virginia. Thewords "you" or "your" mean each person who is authorized to accessCity National Bank account information via the Internet.
CELLULAR PHONE CONTACT POLICYBy providing us with a telephone number for a mobile device,including a number that you later convert to a mobile devicenumber, you are expressly consenting to receivingcommunications—including but not limited to prerecorded orartificial voice message calls, text messages, and calls made by anautomatic dialing system—from us and our affiliates andagents at that number. This express consent applies to each suchtelephone number that you provide to us now or in the future andpermits such calls for
non-marketing purposes. Calls andmessages may incur access fees from your mobile servicesprovider.
You have the ability to update your contact information and manageyour communication preferences at any time by visiting us at abranch, logging in to your account online, or by calling us at thetelephone number listed at the end of this Agreement.
SECURITY AND RESPONSIBILITY OF USER ID AND PASSWORDYou are solely responsible for the security of your User ID andPassword. Anyone who has your User ID and Password will be able toaccess your account information. Because we are unable to identifythe person actually using your User ID and Password, we will not beheld liable for any harm that may occur from the unauthorizedaccess of your account information. If you become aware of anyunauthorized use of your User ID and Password, you must notify usimmediately. Upon notice from you we will take reasonable steps toprotect your account information, including but not limited tovoiding your existing User ID and Password and issuing you a newUser ID and Password.
JOINT ACCOUNTSIf your account is held jointly with other persons, each of youwill have the same right to transfer funds. Accordingly, each ofyou are jointly and severally liable under this Agreement. We willnot be held liable to you for allowing anyone who is a holder of ajoint account to transfer funds, or for any disputes that may arisebetween the parties of a joint account concerning access throughthe "Funds Transfer” function.
COMMUNICATION BETWEEN YOU AND CITY NATIONAL BANK"NOTICE"Notices from you to us can be made by phone, mail, or electronicmail and will be effective only after you receive writtenconfirmation. Any notice made by you by phone must be followed by awritten notice in order to be effective. Separate instructions forcontacting us concerning your "Funds Transfer” function willbe provided to you and those instructions are part of thisAgreement. All notices required to be sent to you concerning any"Internet Banking Service," will be made by electronic mail orthrough our "Internet Banking Service." All notices provided to youwill be effective when we make such notices to your last knownelectronic mail address or through our "Internet Banking Service."Notice to one joint account holder will be effective to all holdersof the account.
DURABILITY OF HARDWARE AND SOFTWAREDue to probable advances in technology, we may upgrade any or allof our "Internet Banking Services" at any time. You understand andagree that if in the event we upgrade our "Internet BankingServices" with respect to its technological capabilities, in amanner that renders the computer hardware or the software you useto access our "Internet Banking Services" obsolete, we will not beresponsible for maintaining or providing compatible Internetservice to you.
VIRUSESIn order to protect your computer you should utilize any and allanti-virus capabilities available to you. Because you will accessour "Internet Banking Service" through the Internet, we cannotreasonably detect viruses you may encounter. Accordingly, you agreethat we will not be responsible for any electronic virus or otherharmful component you may encounter using our "Internet BankingService." We encourage you to routinely scan your computer harddrive and diskettes using any reliable virus protection product todetect and remove any viruses found. Undetected or unrepaired, avirus may corrupt and destroy your programs, files and even yourhardware.
TERMINATIONThis Agreement along with any service provided hereunder may beterminated by you or us at any time with or without cause. Youagree that you will adhere to the terms and conditions of this andrelated agreements. We agree that we will not terminate thisAgreement and the service and any service provided hereunder on anydiscriminatory basis.
LIMITATION OF LIABILITYYou agree that City National Bank, City Holding Company nor any ofour officers, directors, employees or agents, nor any of itssubsidiaries or affiliates (collectively, "City National Bank") norany third party service providers engaged by City National Bank toperform any of the services connected with City National Bank"Internet Banking Services" will be responsible for any damages,loss, property damage or bodily injury, incurred as a result ofyour using or attempting to use the City National Bank "InternetBanking Service," whether caused by the equipment, software,Internet browser providers, Internet access providers or on-lineservice providers or an agent or subcontractor of any of theforegoing. Nor will City National Bank or any third party serviceproviders engaged by City National Bank be responsible for anydirect, indirect, special or consequential, economic or otherdamages arising in any way as a result of the use of City NationalBank Online Service or Internet browser or access software, or forany errors in information provided through that service, or arisingout of the use, misuse or inability to use the Services, or for anyloss of any data, even if we have been informed of the possibilityof such damages. We make no warranty to you regarding yourequipment or any software including any warranty of merchantabilityor fitness of any "Internet Banking Services" for any particularpurpose.
ARBITRATIONYou agree that any dispute regarding this Agreement or any disputearising from the use of City National Bank Online Services will beresolved in Charleston, West Virginia, and in accordance with thethen existing rules of the Commercial Financial DisputesArbitration Rules of the American Arbitration Association (AAA) andTitle 9 of the US Code as the exclusive remedy for such dispute andinstead of any court or administrative action, which is expresslywaived. The parties acknowledge that they have knowingly andvoluntarily agreed to this arbitration provision and fullyunderstand that it is comprehensive and covers any and all disputesbetween the parties including, but not limited to, any claims basedon alleged violations of this Agreement, any covenant of good faithand fair dealing, express or implied, any violation of State orFederal law, any alleged violation of public policy, negligence orother cause of action whatsoever.
APPLICABLE LAW AND SEVERABILITYYou agree that this Agreement and all related agreements will beinterpreted under West Virginia and Federal law exclusivelyregardless of where you live, work, or access your account.
NO SIGNATURE REQUIREDYou agree that no signature is required to make this Agreementenforceable. Because you are required to read, understand, assentto and inquire about any terms or conditions that are unclear toyou prior to applying for any City National Bank Internet BankingService, this Agreement will become fully effective and enforceablewhen you receive and then use your User ID and Password. Youfurther agree to be bound by this Agreement when you access yourCity National Bank account information via the Internet.
"BALANCE AND TRANSACTION HISTORY INQUIRY" AGREEMENT
This Agreement states the terms and conditions that apply when youutilize the Internet to access account balance, transactionhistory, or account transfer history information on your CityNational Bank checking or savings accounts. The terms stated are inaddition to any other agreement you may have with City NationalBank including all agreements for online and conventional bankingservices.
ACTIVATION AND DESCRIPTION OF SERVICE
The "Balance and Transaction History Inquiry" function allows youto utilize our web page for the purpose of accessing accountbalance, transaction history, or account transfer historyconcerning your checking or savings account. We may provide inquiryservice on other accounts in the future. In order to activate thisservice you must apply by filling out an online application orcontact a City National Bank branch. Once access is granted aletter will be issued to you containing your User IdentificationNumber (User ID) and temporary Password information; as well asinstructions for use.
FEES
There is no fee for utilizing the "Balance and Transaction HistoryInquiry” functionfor viewing balance and transaction historyinformation on your checking, savings and other accounts or savingsaccounts. We reserve the right to charge fees for other servicesrelated to online banking
AVAILABILITY AND ACCURACY OF ACCOUNT INFORMATION
The "Balance and Transaction History Inquiry” function willallow you to access all information concerning your checking orsavings account balances or transaction history since the last dateof your account statement. This time period for availabilityapplies only to the "Balance and Transaction History Inquiry”function.
The information you access concerning your accounts through ouronline services may not reflect transactions that have not beenposted. Although our online services are generally available 24hours a day, 7 days a week, we only process transactions and updateinformation on business days, which are Monday through Fridayexcluding holidays.
"FUNDS TRANSFER" AGREEMENT
This Agreement states the terms and conditions that apply when youutilize the Internet to transfer funds between your City NationalBank checking or savings accounts. The terms stated are in additionto any other agreement you may have with City National Bankincluding all agreements for online and conventional bankingservices. For the purpose of this Agreement, the words "we," "us,""our," or "City National Bank" mean City National Bank of WestVirginia. The words "you" or "your" mean each person who isauthorized to access City National Bank account information via theInternet.
ACTIVATION AND DESCRIPTION OF SERVICE
The "Funds Transfer" function allows you to utilize our web pagefor the purpose of transferring funds between your checking,savings and other accounts and savings accounts. We may provide"Funds Transfer" function on other accounts in the future. In orderto activate this service you must contact a City National Bankbranch or apply by filling out an online application. Upon approvalof your application you will receive a User Identification Number(User ID) and a Password. Separate instructions concerning how touse your User ID and Password will be provided to you.
FEES
There is no fee for utilizing the "Funds Transfer" function. Wereserve the right to charge fees for other services related toonline banking.
AVAILABILITY AND ACCURACY OF ACCOUNT INFORMATION
The "Funds Transfer” function will allow you to transferfunds between your checking, savings and other accounts. There isno limit on the amount of funds you can transfer between accountsexcept for the then current availability of funds on any particularaccount. Regulation D requirements limit the number of transfersyou can make from your Regular Savings or Money Market account to 6per month. This includes withdrawals made by check or draft tothird parties; debit or ATM card point-of-sale (POS) purchases; andpre-authorized withdrawals such as automatic transfers foroverdraft protection and transfers made by telephone, online,through a mobile device, bill pay, wire and facsimile. Withdrawalsand transfers made in person or at an ATM are not included in thelimit of six per account cycle.
The information you access concerning your accounts through ouronline services may not reflect transactions that have not beenposted. Although our online services are generally available 24hours a day, 7 days a week, we only process transactions and updateinformation on business days, which are Monday through Fridayexcluding holidays. Thus, any transfer you perform will not beeffective until we process the transaction on the next businessday.
“ELECTRONIC STATEMENT SERVICE” AGREEMENT
This agreement is made between you and City National Bank andprovides your request and consent to receive statements and noticesfor your City National account(s) by electronic delivery. Theseelectronic statements and notices are called "eDocs". Included inthe items that you will receive electronically are your monthlystatements and notices including, but not limited to: certificateof deposit interest credits and renewal notices; renewal ratechange notices; etc. Although you are opting out from receivingyour statement(s)/notice(s) by U.S. mail, you have the option toreceive a paper statement, at any time, by contacting your localbranch.
FEES
There is currently no service charge or fees associated with theuse of eDocs. However, you agree that City National Bank has theright to institute or change the fee for eDocs upon thirty daysprior written notice to you. In addition, City National Bank hasthe right to amend these terms and conditions from time to timeproviding you with written notice of the amended terms andconditions.
You agree to waive and release any claims against City NationalBank arising out of or that may in any way be related to the use ofeDocs, except for those claims resulting solely from the negligentacts or omissions of the Bank. You agree that you are solelyresponsible for any loss due to use of eDocs by you, any authorizeduser, or any unauthorized user or recipient who gains access toeDocs through your computer or information obtained directly orindirectly from you.
You must be a City National Online Banking user to enroll for eDocsand have at least one City National Bank deposit or loan account.Adobe Acrobat Reader® version 6.0 or higher is required to openand view your statement(s)/notice(s). To download the latestversion of Adobe Acrobat Reader®, click here. We also recommendthat you use the latest browser version available that supports 128bit SSL Encryption.

You will need email access with at least 1MB of free space toreceive your eDocs notifications, which will inform you that yourstatement is available to view. Your notifications will be sent tothe email address that’s on file with Online Banking. It isyour responsibility to keep your email address updated on OnlineBanking. You may change your email address under the eDocs tab orthe Options tab within your online banking account. You may alsocontact your local branch to request any customer informationchange.
Statement(s)/notice(s) are sent as a "shell" .pdf without customerdata. Once the user logs into eDocs, the ID and Password areauthenticated and the data fills the PDF document. The dataincluded in the statement(s)/notice(s) is streamed via a secure128-bit SSL encryption.
Your Online Banking ID and Password are your keys to eDocs. Ittakes both identification keys to gain access. No one representingCity National Bank will ask for your Password. You should nevergive your Password to anyone who asks for it in an email or byphone or anyone else who you do not want to have access to youraccount.
Statement(s)/Notice(s) can be printed or saved to a file on yourcomputer for easy storage. The past eighteen months’statement(s)/notice(s) will be available on Online Banking for yourconvenience.
You have the option to receive check images with your electronicstatement. To request a change to your images, contact your localbranch.
You have the right to terminate eDocs at any time by logging intoOnline Banking and changing your eDocs settings from the DocumentSettings tab. City National Bank has the right to terminate itsobligation to provide electronic statement(s)/notice(s) services toyou upon thirty days prior written notice.
“BILL PAY” AGREEMENT
You may use City National Bank’s bill paying service todirect City National Bank to make payments from your designatedchecking account to the “Payees” you choose inaccordance with this agreement. The terms and conditions of thisagreement are in addition to the account agreements, disclosuresand other documents in effect from time to time governing youraccount.
INSTRUCTIONS FOR SETTING UP PAYEES AND PAYMENTS
Payees: If you want to add a new “Payee,” first selectthe “Payee” tab located in the bill pay or speak to aservice representative.
a. The Financial Institution reserves the rightto refuse the designation of a “Payee” for anyreason.
Payments: You may add a new payment to a “Payee” byaccessing the service and entering the appropriate information.Most other additions, deletions, or changes can be made in writingor by using the service.
b. You may pay any “Payee” with-inthe United States (including U.S. territories and APO’s /AEO’s).
c. The Financial Institution is not responsiblefor payments that cannot be made due to incomplete, incorrect, oroutdated information.
BILL PAY PROCESS
A single payment will be processed on the business day (generallyMonday through Friday, except certain holidays) that you designateas the payment’s processing date, provided the payment issubmitted prior to the daily cut-off time on that date. The dailycut-off time, which is controlled by the Financial Institution, iscurrently 2:00 PM.
A single payment submitted after the cut-off time on the designatedprocess date will be processed on the next business day. If youdesignate a non-business date (generally weekends and certainholidays) as the payment’s processing date, the payment willbe processed on the first business day following the designatedprocessing date.
When a recurring payment is processed, it is automaticallyrescheduled by the system. Based upon your selected frequencysettings for the payment, a processing date is calculated for thenext occurrence of the payment. If the calculated processing dateis a non-business date (generally weekends and certain holidays),it is adjusted based upon the following rules:
a. If the recurring payment’s “PayBefore” option is selected, the processing date for the newoccurrence of the payment is adjusted to the first business dateprior to the calculated processing date.
b. If the recurring payment’s “PayAfter” option is selected, the processing date for the newoccurrence of the payment is adjusted to the first business dateafter the calculated processing date.
Note: If your frequency settings for the recurring payment specifythe 29th, 30th, or 31st as a particular day of the month forprocessing and that day does not exist in the month of thecalculated processing date, then the last calendar day of thatmonth is used as the calculated processing date.
SINGLE AND RECURRING PAYMENTS
The system will calculate the Estimated Arrival Date of yourpayment. This is only an estimate, so please allow ample time foryour payments to reach your “Payees”.
CANCELING A PAYMENT
A bill payment can be changed or cancelled any time prior to thecutoff time on the scheduled processing date.

- o Person to person email payments: $1,000 Per item/per day
- o Payments made using City National Bank’s mobile app:$10,000 Per item
- b. Business
- o Bill Payment Transaction Limit: $20,000 Per item/Per day
- o Person to person email payments: $1,000 Per item/per day
SERVICE FEES
- a. A $1.99 Service Fee will be assessed wheninitiating charitable donations
- b. A $2.99 Service Fee will be assessed wheninitiating gift checks
- c. Expedited delivery costs:
- o Business Day ($19.95, sent by check viaUPS)
- o Second Day Standard ($14.95, sent by checkvia UPS)
- o Second Day Economy ($4.95 sentelectronically)
- d. Commercial customers who utilize theelectronic bill pay invoicing function for 15 invoices, will beassessed a $7.95 fee per business user per month.
- e. Commercial customers who utilize theelectronic bill payment business basic and payroll option (includes10 transactions), will be assess a $5.95 fee per business user permonth.
- f. Commercial customers will be assessed a$.45 electronic bill payment business fee, pertransaction.
We reserve the right to charge fees for other services related toonline bill payment.
LIMITATION OF LIABILITY
- a. You are solely responsible for controllingthe safekeeping of and access to your Personal IdentificationNumber (PIN).
- b. If you want to terminate another person'sauthority to use the Bill Pay service, you must notify theFinancial Institution and arrange to change your PIN.
- c. You will be responsible for any billpayment request you make that contains an error or is a duplicateof another bill payment.
- d. The Financial Institution is notresponsible for a bill payment that is not made if you did notproperly follow the instructions for making a billpayment.
- e. The Financial Institution is not liablefor any failure to make a bill payment if you fail to promptlynotify the Financial Institution after you learn that you have notreceived credit from a “Payee” for a billpayment.
- f. The Financial Institution is notresponsible for your acts or omissions or those of any otherperson, including, without limitation, any transmission orcommunications facility, and no such party shall be deemed theFinancial Institution's agent.
AMENDMENT
The Financial Institution has the right to change this agreement atany time by notice mailed to you at the last address shown for theaccount on the Financial Institution's records, by posting noticein branches of the Financial Institution, or as otherwise permittedby law.
TERMINATION
- a. The Financial Institution has the right toterminate this agreement at any time.
- b. You may terminate this agreement bywritten notice to the Financial Institution.
- c. The Financial Institution is notresponsible for any fixed payment made before the FinancialInstitution has a reasonable opportunity to act on your terminationnotice.
- d. You remain obligated for any payments madeby the Financial Institution on your behalf.
“MOBILE BANKING” AGREEMENT
City National Bank (“We” or “Us”) endeavorsto provide you with the highest quality Mobile Internet bankingavailable. This Agreement states our obligations with respect toour Mobile Internet banking service (the“Service”).
SERVICE AND AVAILABILITY
We will use reasonable efforts to make the Service available foryour use on a continuous basis. The Service may be unavailable forshort periods of time for regular or emergency system maintenance.We will endeavor to have our scheduled maintenance occur duringnon-peak hours. In addition, accessibility to the Service may beinterrupted because of conditions beyond our control, includingoutages in internet availability. We will use diligent efforts tore-establish the Services as promptly as possible. We do notpromise the Service will always be available for your use. We mayelect to discontinue this Service at any time. If we choose todiscontinue the Service, We will provide you with reasonable noticein advance of that fact.
ACCESS
You are responsible for providing your own hardware and software toaccess the Service. The hardware and software that you use may besubject to unauthorized tracking or other manipulation by“spyware” or other malicious code. We are notresponsible for advising you of the existence or potential effectof such malicious code, and your use of your hardware and softwareis at your own risk. We do not guarantee functionality of theService on all wireless devices. You are responsible for thecharges of any wireless service provider while using theService.
SECURITY
We will use commercially reasonable efforts to secure the Serviceto prevent access by unauthorized persons and to prevent theintroduction of any malicious code, such as a computer virus.However, no security system is failsafe, and despite our effortsthe security of the Service could be compromised or malicious codecould be introduced by third parties. We will provide you withnotice if your information is the subject of a security breach asrequired by applicable law. Further, we reserve the right at alltimes to take actions to protect our systems and information,including denial of access to users of the Service.
DEPOSIT AGREEMENT
The accounts that you access using the Service are subject to theterms and conditions of the deposit agreement for those accountsand the terms and conditions for internet banking.
VIRUSES
In order to protect your computer you should utilize any and allanti-virus capabilities available to you. Because you may accessour Mobile Internet banking through the Internet, we cannotreasonably detect viruses you may encounter. Accordingly, you agreethat we will not be responsible for any electronic virus or otherharmful component you may encounter using our Mobile Internetbanking. We encourage you to routinely scan your computer harddrive and diskettes using any reliable virus protection product todetect and remove any viruses found. Undetected or unrepaired, avirus may corrupt and destroy your programs, files and even yourhardware.
TERMINATION
This Agreement along with any service provided hereunder may beterminated by you or us at any time with or without cause. Youagree that you will adhere to the terms and conditions of this andrelated agreements. We agree that we will not terminate thisAgreement and the service and any service provided hereunder on anydiscriminatory basis.

Nor will City National Bank or any third partyservice providers engaged by City National Bank be responsible forany direct, indirect, special or consequential, economic or otherdamages arising in any way as a result of the use of City NationalBank Online Service or Internet browser or access software, or forany errors in information provided through that service, or arisingout of the use, misuse or inability to use the Services, or for anyloss of any data, even if we have been informed of the possibilityof such damages. We make no warranty to you regarding yourequipment or any software including any warranty of merchantabilityor fitness of any Mobile Internet banking service for anyparticular purpose.
ARBITRATION

“MOBILE DEPOSIT” AGREEMENT
This Mobile Deposit User Agreement ("Agreement") contains the termsand conditions for the use of City National Bank Mobile Depositthat City National Bank or its affiliates ("City", "us," or "we")may provide to you ("you," or "User"). Other agreements you haveentered into with City as applicable to your City account(s), areincorporated by reference and made a part of this Agreement.
SERVICES
The mobile remote deposit capture services ("Services") aredesigned to allow you to make deposits to your checking, savings,or money market savings accounts from home or other remotelocations by scanning checks and delivering the images andassociated deposit information to City or City’s designatedprocessor.
ACCEPTANCE OF THESE TERMS
Your use of the Services constitutes your acceptance of thisAgreement. This Agreement is subject to change from time to time.We will notify you of any material change via e-mail, text message,or on our website(s) by providing a link to the revised Agreementor by an online secure message. You will be prompted to accept orreject any material change to this Agreement the next time you usethe Service after City has made the change. Your acceptance of therevised terms and conditions along with the continued use of theServices will indicate your consent to be bound by the revisedAgreement. Further, City reserves the right, in its solediscretion, to change, modify, add, or remove portions from theServices. Your continued use of the Services will indicate youracceptance of any such changes to the Services.
LIMITATIONS OF THESE SERVICES
When using the Services, you may experience technical or otherdifficulties. We will attempt to post alerts on our website tonotify you of these interruptions in Service. We cannot assumeresponsibility for any technical or other difficulties or anyresulting damages that you may incur. Some of the Services havequalification requirements, and we reserve the right to change thequalifications at any time without prior notice. We reserve theright to change, suspend or discontinue the Services, in whole orin part, or your use of the Services, in whole or in part,immediately and at any time without prior notice to you.
HARDWARE AND SOFTWARE
In order to use the Services, you must obtain and maintain, at yourexpense, compatible hardware and software as specified by City fromtime to time. See https://www.bankatcity.com/Mobile_Banking forcurrent hardware and software specifications. City is notresponsible for any third party software you may need to use theServices. Any such software is accepted by you as is and is subjectto the terms and conditions of the software agreement you enterinto directly with the third party software provider at time ofdownload and installation.
FEES
A fee is not currently charged for the service. City may change thefees for use of the Service at any time pursuant to the sectiontitled "Acceptance of these Terms" above. You are responsible forpaying the fees for the use of the Service. You authorize City todeduct any such fees from any City account in your name.
ELIGIBLE ITEMS
You agree to scan and deposit only "checks" as that term is definedin Federal Reserve Regulation CC ("Reg. CC"). When the image of thecheck transmitted to City is converted to an Image ReplacementDocument for subsequent presentment and collection, it shallthereafter be deemed an "item" within the meaning of Articles 3 and4 of the Uniform Commercial Code.
You agree that you will not scan and deposit any of the followingtypes of checks or other items which shall be considered ineligibleitems:
- a.Checks payable to any person or entityother than the person or entity that owns the account that thecheck is being deposited into
- b.Checks containing an alteration on thefront of the check or item, or which you know or suspect, or shouldknow or suspect, are fraudulent or otherwise not authorized by theowner of the account on which the check is drawn
- c.Checks payable jointly, unless depositedinto an account in the name of all payees.
- d.Checks previously converted to a substitutecheck, as defined in Reg. CC.
- e.Checks drawn on a financial institutionlocated outside the United States.
- f.Checks that are remotely created checks, asdefined in Reg. CC.
- g.Checks not payable in United Statescurrency.
- h.Checks dated more than 6 months prior tothe date of deposit.
- i. Checks or items prohibited by City’scurrent procedures relating to the Services or which are otherwisenot acceptable under the terms of your City account.
- j.Checks payable on sight or payable throughDrafts, as defined in Reg. CC.
- k.checks with any endorsement on the backother than that specified in this agreement.
- l.Checks that have previously been submittedthrough the Service or through a remote deposit capture serviceoffered at any other financial institution.
- m.Checks or items that are drawn or otherwiseissued by the U.S. Treasury Department
- n.Checks written from any account thatcustomer owns or is a signer on
ENDORSEMENTS AND PROCEDURES
You agree to restrictively endorse any item transmitted through theServices as "For mobile deposit only, account #______" or asotherwise instructed by City. You agree to follow any and all otherprocedures and instructions for use of the Services as City mayestablish from time to time.
RECEIPT OF ITEMS
We reserve the right to reject any item transmitted through theServices, at our discretion, without liability to you. We are notresponsible for items we do not receive or for images that aredropped during transmission. An image of an item shall be deemedreceived when you receive an email confirmation from City that thecheck has been approved for processing. Receipt of suchconfirmation does not mean that the transmission was error free,complete or will be considered a deposit and credited to youraccount. We further reserve the right to charge back to youraccount at any time, any item that we subsequently determine wasnot an eligible item. You agree that the Bank is not liable for anyloss, costs, or fees you may incur as a result of our chargeback ofan ineligible item.
AVAILABILITY OF FUNDS
You agree that items transmitted using the Services are not subjectto the funds availability requirements of Federal Reserve BoardRegulation CC. In general, if an image of an item you transmitthrough the Service is received and accepted before 8:00 p.m.Eastern Time on a business day that we are open, we consider thatday to be the day of your deposit. Otherwise, we will consider thatthe deposit was made on the next business day we are open. Fundsdeposited using the Services will generally be made available onthe second business day from the day of deposit.
DISPOSAL OF TRANSMITTED ITEMS
Upon your receipt of a confirmation from City that your check hasbeen approved for processing, You agree to retain the check for atleast 30 calendar days from the date of the image transmission.After 30 days, you agree to destroy the check that you transmittedas an image, mark it "VOID", or otherwise render it incapable offurther transmission, deposit, or presentment. During the time theretained check is available, you agree to promptly provide it toCity upon request.
DEPOSIT LIMITS
We may establish limits on the dollar amount and/or number of itemsor deposits from time to time. If you attempt to initiate a depositin excess of these limits, we may reject your deposit. If we permityou to make a deposit in excess of these limits, such deposit willstill be subject to the terms of this Agreement, and we will not beobligated to allow such a deposit at other times. The current dailydollar limit is $2,500.00 per business day. In addition, thecurrent monthly dollar limit is $10,000.00 per calendar month.There is a daily limit of five items per business day, andtwenty-five items per calendar month. Daily and monthly depositlimits may vary for users of other services.
PRESENTMENT
The manner in which the items are cleared, presented for payment,and collected shall be in City’s sole discretion subject tothe Terms and Conditions governing your account.
ERRORS
You agree to notify City of any suspected errors regarding itemsdeposited through the Services right away, and in no event laterthan 30 days after the applicable City account statement is sent.Unless you notify City within 30 days, such statement regarding alldeposits made through the Services shall be deemed correct, and youare prohibited from bringing a claim against City for such allegederror.
ERRORS IN TRANSMISSION
By using the Services you accept the risk that an item may beintercepted or misdirected during transmission. City bears noliability to you or others for any such intercepted or misdirecteditems or information disclosed through such errors.
IMAGE QUALITY
The image of an item transmitted to City using the Services must belegible, as determined in the sole discretion of City. Withoutlimiting the foregoing, the image quality of the items must complywith the requirements established from time to time by City, ANSI,the Board of Governors of the Federal Reserve Board, or any otherregulatory agency, clearinghouse or association.
USER WARRANTIES AND IDEMNIFICATION
You warrant to City that:
- a. You will only transmit eligibleitems.
- b. You will not transmit duplicate items,meaning you will not deposit the same check/item twice usingCity’s mobile deposit service.
- c. You will not re-deposit or re-present theoriginal item meaning you will not present an item previouslynegotiated using City’s mobile deposit service for cash ordeposit at another financial institution or City NationalBank.
- d. All information you provide to City isaccurate and true.
- e. You will comply with this Agreement andall applicable rules, laws and regulations.
- f. You are not aware of any factor which mayimpair the collectability of the item.
You agree to indemnify and hold harmless City from any loss forbreach of this warranty provision.
COOPERATION WITH INVESTIGATIONS
You agree to cooperate with us in the investigation of unusualtransactions, poor quality transmissions, and resolution ofcustomer claims, including by providing, upon request and withoutfurther cost, any originals or copies of items deposited throughthe Service in your possession and your records relating to suchitems and transmissions.
TERMINATION
We may terminate this Agreement at any time and for any reason.This Agreement shall remain in full force and effect unless anduntil it is terminated by us. Without limiting the foregoing, thisAgreement may be terminated if you breach any term of thisAgreement, if you use the Services for any unauthorized or illegalpurposes or you use the Services in a manner inconsistent with theterms and conditions of your account(s), or any other agreementwith us.
ENFORCEABILITY.
We may waive enforcement of any provision of this Agreement. Nowaiver of a breach of this Agreement shall constitute a waiver ofany prior or subsequent breach of the Agreement. Any such waivershall not affect our rights with respect to any other transactionor to modify the terms of this Agreement. In the event that anyprovision of this Agreement shall be deemed to be invalid, illegal,or unenforceable to any extent, the remainder of the Agreementshall not be impaired or otherwise affected and shall continue tobe valid and enforceable to the fullest extent permitted bylaw.
OWNERSHIP AND LICENSE
You agree that City retains all ownership and proprietary rightsin the Services, associated content, technology, and website(s).Your use of the Services is subject to and conditioned upon yourcomplete compliance with this Agreement. Without limiting theeffect of the foregoing, any breach of this Agreement immediatelyterminates your right to use the Services. Without limiting therestriction of the foregoing, you may not use the Services (i) inany anti-competitive manner, (ii) for any purpose which would becontrary to City’s business interest, or (iii) toCity’s actual or potential economic disadvantage in anyaspect. You may use the Services only for non-business, personaluse in accordance with this Agreement. You may not copy, reproduce,distribute or create derivative works from the content and agreenot to reverse engineer or reverse compile any of the technologyused to provide the Services.
DISCLAIMER OF WARRANTIES
YOU AGREE YOUR USE OF THE SERVICES AND ALL INFORMATION AND CONTENT(INCLUDING THAT OF THIRD PARTIES) IS AT YOUR RISK AND IS PROVIDEDON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIESOF ANY KIND AS TO THE USE OF THE SERVICES, WHETHER EXPRESS ORIMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OFMERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE ANDNONINFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES (i) WILLMEET YOUR REQUIREMENTS, (ii) WILL BE UNINTERRUPTED, TIMELY, SECURE,OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THESERVICE WILL BE ACCURATE OR RELIABLE, AND (iv) ANY ERRORS IN THESERVICES OR TECHNOLOGY WILL BE CORRECTED.
LIMITATION OF LIABILITY
YOU AGREE THAT WE WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT,INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING,BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATAOR OTHER LOSSES RESULTING FROM THE USE OR THE INABILITY TO USE THESERVICES INCURRED BY YOU OR ANY THIRD PARTY ARISING FROM OR RELATEDTO THE USE OF, INABILITY TO USE, OR THE TERMINATION OF THE USE OFTHIS SERVICES, REGARDLESS OF THE FORM OF ACTION OR CLAIM (WHETHERCONTRACT, TORT, STRICT LIABILITY OR OTHERWISE), EVEN IF CITY HASBEEN INFORMED OF THE POSSIBILITY THEREOF.
“CARD MANAGEMENT APPLICATION” AGREEMENT
The Card Management Application services ("Services") are designedto allow you to temporarily suspend a debit card as well as reporta card as lost/stolen. The terms and conditions of this agreementare in addition to the account agreements, disclosures and otherdocuments in effect from time to time governing your account.
CARD MANAGEMENT PROCESS
Within City National Bank’s mobile banking application,access the flyout menu by clicking the three lines in the top leftcorner. Then select “Preferences” and “ManageCards”. Once the Manage Cards option is selected, the cardsthat can be managed with the online banking ID provided willdisplay.
Select the card you would like to manage and the options to“Suspend” the card or “Report” the card asLost or Stolen will be made available.
If the “Suspend” Card option is chosen, the suspendbutton will also need to be selected to place a temporary hold onthe debit card which will prevent the debit card from being usedfor transactions as long as the card remains in a Suspendedstatus.
Once a card is suspended, customers have the ability to Activate(un-suspend) the debit card, or “Report” the card aslost or stolen by returning to the Manage Cards screen, selectingthe suspended card and the action you would like to take inmanaging this card. If the “Activate” Card option ischosen, the Active button will also need to be selected toun-suspend the card. If the “Report” Lost or Stolenoption is chosen, the Report button will need to be selected tocomplete the request and report the card as lost or stolen.
Any selection will prompt the display of the appropriateconfirmation, such as “Your card has been suspended” or“Your card has been reported as lost/stolen” and a textnotification to the customer will be generated.
When reporting a card as Lost or Stolen, there is no option toremove this status from the card within the mobile application. Ifthe Report Card Lost or Stolen option is selected in error, youwill need to call your local branch office, the telephone listedbelow or the Customer Care center at 1-888-816-8064 forassistance.
FEES
A fee is not currently charged for this service. City may changefees for use of this Service at any time. You are responsible forpaying the fees for the use of the Service. You authorize City todeduct any such fees from any City account in your name.
ELECTRONIC FUNDS TRANSFERS DISCLOSURE
Your Rights and Responsibilities
The Electronic Fund Transfers we are capable of handling forconsumers are indicated below, some of which may not apply to youraccount. Some of these may not be available at all terminals.Please read this disclosure carefully because it tells you yourrights and obligations for these transactions. You should keep thisnotice for future reference.
TYPE OF TRANSFERS, FREQUENCY AND DOLLAR LIMITATIONS
(a) Prearranged Transfers.
Preauthorized credits. You may make arrangements for certain directdeposits to be accepted into your checking and/or savingsaccount(s)
Preauthorized payments. You may make arrangements to pay certainrecurring bills from your checking and/or savings account(s).
(b) Telephone Transfers. You may access youraccount(s) by telephone at 1-800-776-0541 using a touch tone phone,your account numbers, and PIN and last 4 digits of SSN to: transferfunds from checking to savings; transfer funds from savings tochecking; transfer funds from checking to checking; transfer fundsfrom savings to savings; make payment from checking to loanaccounts with us; get checking account(s) information; get savingsaccount(s) information; get loan account(s) information; get CDaccount information
(c) ATM Transfers. You may access your account(s)by ATM using your debit MasterCard (name per acct) and personalidentification number to: make deposits to checking accounts; makedeposits to savings accounts; get cash withdrawals from checkingaccounts you may withdraw no more than 500.00 per day; get cashwithdrawals from savings accounts you may withdraw no more than500.00 per day; transfer funds from savings to checking; transferfunds from checking to savings; transfer funds from checking tochecking to savings to savings; get checking account (s)information; get saving(s) account information. There is no chargefor ATM withdrawals or deposits at machines owned by us.
(d) Point-of-Sale Transactions. Using your card:you may access your checking account(s) to purchase goods (inperson, by phone, by computer), pay for services (in person, byphone, by computer), get cash from a merchant, if the merchantpermits, or from a participating financial institution, and doanything at a participating merchant will accept. You may notexceed more than $2,500.00 in transactions per day. We do notcharge for any POS transactions.
(e) Computer Transfers. You may access youraccount(s) by computer by www.bankatcity.com and using yourassigned login and password to: transfer funds from checking tosavings; transfer funds from savings to checking; transfer fundsfrom checking to checking; transfer funds from savings to savings;make payments from checking to loan accounts with us; get checkingaccount(s) information; get savings account(s) information; getloan and CD account information; pay bills directly from youraccount with ONLINE BILL PAY.
(f) Mobile Banking Transfers. You may accessyour account(s) by web-enabled cell phone by visitingwww.bankatcity.com and using your online banking login and passwordto: Transfer funds from checking to savings; Transfer funds fromsavings to checking; Transfer funds from checking to checking;Transfer funds from a line of credit to checking or savings; Makepayments from checking to loan accounts with us; Get checkingaccount(s) information; Get savings accounts(s) information; Makedeposits to your account using City’s MOBILE DEPOSITservices. The current daily dollar limit for items deposited is$2,000 per business day. The current monthly dollar limit is $5,000per calendar month. There is a daily limit of five items perbusiness day, and twenty-five items per calendar month. Daily andmonthly deposit limits may vary for users of other services. Youmay be charged access fees by your cell phone provider based onyour individual plan. Web access is needed to use this service.Check with your cell phone provider for details on specific feesand charges.
(g) Electronic Fund Transfers Initiated by ThirdParties. You may authorize a third party to initiate electronicfund transfers between your account and the third party’saccount. These transfers to make or receive payment may be one-timeoccurrences or may recur as directed by you. These transfers mayuse the Automated Clearing House (ACH) or other payments network.Your authorization to the third party to make these transfers canoccur in a number of ways. For example, your authorization toconvert a check to an electronic fund transfer or to electronicallypay a returned check charge can occur when a merchant provides youwith notice and you go forward with the transactions (typically, atthe point of purchase, a merchant will post a sign and print thenotice on a receipt). In all cases, these third party transferswill require you to provide the third party with your accountnumber and financial institution information. This information canbe found on your check as well as on a deposit or withdrawal slip.Thus, you should only provide your financial institution andaccount information (whether over the phone, the Internet, or viasome other method) to trusted third parties whom you haveauthorized to initiate these electronic fund transfers. Examples ofthese transfers include, but are not limited to: Electronic Checkconversion. You may authorize a merchant or other payee to make aone-time electronic payment from your checking account usinginformation from your check to pay for purchases or pay bills.Electronic returned check charge. You may authorize a merchant orother payee to initiate an electronic fund transfer to collect acharge in the event a check is returned for insufficientfunds.
GENERAL LIMITATIONS
In addition to those limitations on transfers elsewhere described,if any, the following limitations apply: The following limitationsapply to City National Bank’s Bill Pay service: CONSUMER:Transaction Limit $20,000 per item; Person to person $1,000 peritem/day; Mobile app payments $10,000 per item; BUSINESS:Transaction Limit $20,000 per item/day; Person to person $1,000 peritem/day. See our TIS for each account type specifics. Except asindicated above, we do not charge for Electronic FundTransfers.
ATM Operator/Network Fees: When you use an ATM not owned by us, youmay be charged a fee by the ATM operator or any network used (andyou may be charged a fee for a balance inquiry even if you do notcomplete a fund transfer).
DOCUMENTATION
(a) Terminal Transfers. You can get a receipt atthe time you make a transfer to or from your account using a(n)automated teller machine; point-ofsale terminal. You may not get areceipt if the amount of the transfer is $15 or less.
(b) Preauthorized Credits. If you have arrangedto have direct deposits made to your account at least once every 60days from the same person or company, you can call us at thetelephone number listed below to find out whether or not thedeposit has been made.
(c) In addition, you will get a monthly accountstatement from us, unless there are no transfers in a particularmonth. In any case, you will get a statement at leastquarterly.
PREAUTHORIZED PAYMENTS
(a) Right to stop payment and procedure for doingso. If you have told us in advance to make regular payments out ofyour account, you can stop any of these payments. Here’s how:call or write us at the telephone number or address listed in thisdisclosure, in time for us to receive your request 3 business daysor more before the payment is scheduled to be made. If you call, wemay also require you to put your request in writing and get it tous within 14 days after your call. We charge $34.00 for each stoppayment.
(b) Notice of varying amounts. If these regularpayments may vary in amount, the person you are going to pay willtell you, 10 days before each payment, when it will be made and howmuch it will be. (You may choose instead to get this notice onlywhen the payment would differ by more than a certain amount fromthe previous payment, or when the amount would fall outside certainlimits that you set.)
(c) Liability for failure to stop payment ofpreauthorized transfer. If you order us to stop one of thesepayments 3 business days or more before the transfer is scheduled,and we do not do so, we will be liable for your losses ordamages. FINANCIAL INSTITUTION’S LIABILITY (a) Liability for failure to make transfers. Ifwe do not complete a transfer to or from your account on time or inthe correct amount according to your agreement with you, we will beliable for your losses or damages. However, there are someexceptions. We will not be liable, for instance: if, through nofault of ours, you do not have enough money in your account to makethe transfer; if the transfer would go over the credit limit onyour overdraft line; if the automated teller machine where you aremaking the transfer does not have enough cash; if the terminal orsystem was not working properly and you knew about the breakdownwhen you started the transfer; if circumstances beyond our control(such as fire or flood) prevent the transfer, despite reasonableprecautions that we have taken. There may be other expectationsstated in our agreement with you. CONFIDENTIALITY We will disclose information to third parties about your accountor the transfers you make: (1) where it is necessary for completingtransfers; (2) or in order to verify the existence and condition ofyour account for a third party, such as a credit bureau ormerchant; or (3) in order to comply with government agency or courtorders; or (4) as explained the separate Privacy Disclosure. UNAUTHORIZED TRANSFERS (a) Consumer Liability. Tell us at once if youbelieve your debit card and/or code has been lost or stolen, or ifyou believe that an electronic fund transfer has been made withoutyour permission using information from your check. Telephoning isthe best way of keeping your possible losses down. You could loseall the money in your account (plus your maximum overdraft line ofcredit). If you tell us within 2 business days after you learn ofthe loss or theft of your card and/or code, you can lose no morethan $50 if someone used your card and/or code without yourpermission. Also, if you do NOT tell us within 2 business daysafter you learn of the loss or theft of your card and/or code, andwe can prove we could have stopped someone from using your cardand/or code without your permission if you had told us, you couldlose as much as $5000. Also, if your statement shows transfers thatyou did not make, including those made by card, code or othermeans, tell us at once. If you do not tell us within 60 days afterthe statement was mailed to you, you may not get back any money youlost after the 60 days if we can prove that we could have stoppedsomeone from the taking the money if you had told us in time. If agood reason (such as a long trip or a hospital stay) kept you fromtelling us, we will extend the time period. MasterCard® Debit Card. Additional Limits on Liability forMasterCard POS transactions. You will not be liable for anyunauthorized transactions using your MasterCard debit card, whenused for point-of-sale transactions, if: (i) you can demonstratethat you have exercised reasonable care in safeguarding your cardfrom the risk of loss or theft, (ii) you have not reported to ustwo or more incidents of unauthorized use within the priortwelve-month period, and (iii) your account is in good standing. Ifany of these conditions are not met, your liability is the lesserof $50 or the amount of money, property, labor services obtained bythe unauthorized use before notification to us. “Unauthorizeduse” means the use of your debit card by a person, other thanyou, who does not have actual, implied, or apparent authority forsuch use, and from which you receive no benefit. This additionallimit on liability does not apply to ATM transactions or totransactions using your Personal Identification Number which arenot processed by MasterCard. MasterCard is a registered trademarkof MasterCard International Incorporated. (b) Contact in event of unauthorized transfer.If you believe your card and/or code has been lost or stolen, callor write us at the telephone number or address listed at the end ofthis disclosure. You should also call the number or write to theaddress listed at the end of this disclosure if you believe atransfer has been made using the information from your checkwithout your permission. ERROR RESOLUTION NOTICE In Case of Errors or Questions About Your Electronic Transfers,Call or Write us at the telephone number or address listed below,as soon as you can, if you think your statement or receipt is wrongor if you need more information about a transfer listed on thestatement or receipt. We must hear from you no later than 60 daysafter we sent the FIRST statement on which the problem or errorappeared. (1) Tell us your name and account number (if any). (2)Describe the error or the transfer you are unsure about, andexplain as clearly as you can why you believe it is an error or whyyou need more information. (3) Tell us the dollar amount of thesuspected error. If you tell us orally, we may require that yousend us your complaint or question in writing within 10 businessdays. We will determine whether an error occurred within 10 businessdays (5 business days if involving a Visa® point-of-saletransaction processed by Visa or 20 business days if the transferinvolved a new account) after we hear from you and will correct anyerror promptly. If we need more time, however, we may take up to 45days (90 days if the transfer involved a new account, apoint-of-sale transaction, or a foreign-initiated transfer) toinvestigate your complaint or question. If we decide to do this, wewill credit your account within 10 business days (5 business daysif involving a Visa point-of-sale transaction processed by Visa or20 business days if the transfer involved a new account) for theamount you think is in error, so that you will have the use of themoney during the time it takes us to complete our investigation. Ifwe ask you to put your complaint or question in writing and we donot receive it within 10 business days, we may not credit youraccount. An account is considered a new account from 30 days afterthe first deposit is made, if you are a new customer. We will tellyou the results within three business days after completing yourinvestigation. If we decide that there was no error, we will sendyou a written explanation. You may ask for copies of the documentthat we used in our investigation. ADDITIONAL INFORMATION: International Transaction Fee: For all transactions outside of the United States, MasterCardassesses a transaction fee equal to 1% of the U.S. Dollar amount ofeach such Foreign Transaction. If a transaction is made in aforeign currency, MasterCard International(“MasterCard”) will convert the transaction into a U.S.Dollar amount. MasterCard will act in accordance with theiroperation regulations or conversion procedures in effect at thetime the transaction is processed. Currently, their regulations andprocedures provide that the currency conversion rate they use iseither (1) a wholesale market rate or (2) a government mandate ineffect one day prior to the processing date. The currencyconversion rate calculated in this manner that is in effect on theprocessing date may differ from the rate in effect on thetransaction date or the posting date.
